1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User" or "you") and XaasTech LLC, a Wyoming limited liability company doing business as Soho Sleek ("Company," "we," "us," or "our").

The website www.sohosleek.com (the "Site") is an architectural and design portfolio website showcasing the work, concepts, and services of Soho Sleek, a DBA of XaasTech LLC.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

3. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all architectural drawings, renderings, photographs, designs, sketches, text, graphics, logos, and the "SOHO SLEEK" trademark) are owned by XaasTech LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

No Unauthorized Use: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

  • Your computer may temporarily store copies of such materials incidental to your accessing and viewing the Site.

  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial reference use, provided you retain all copyright and proprietary notices.

Portfolio Use: All architectural works depicted on the Site are the exclusive property of XaasTech LLC (DBA Soho Sleek). You may not use these images for any commercial purpose, including but not limited to your own architectural practice, marketing, or reproduction, without express written consent.

4. Prohibited Uses

You agree not to use the Site:

  • For any unlawful purpose or in violation of any applicable federal, state, or local law (including Wyoming law).

  • To reproduce, duplicate, copy, or resell any part of the Site in violation of these Terms.

  • To impersonate or attempt to impersonate XaasTech LLC, Soho Sleek, or any other person or entity.

  • To scrape, data mine, or use bots, crawlers, or similar data gathering or extraction tools to access, acquire, copy, or monitor any portion of the Site or architectural content.

5. Site Accuracy and Availability

We endeavor to keep the portfolio and project information on the Site accurate and up-to-date. We reserve the right to modify, update, or remove content from the Site at any time without notice.

We do not warrant that the Site will be uninterrupted or error-free.

6. User Communications

The Site may permit you to submit inquiries, requests for proposals, or general messages via contact forms or email (e.g., admin@sohosleek.com).

No Confidentiality: Unless we have a separate signed Non-Disclosure Agreement (NDA) in place, any unsolicited architectural ideas, designs, or concepts you submit become non-confidential and may be used by Soho Sleek without compensation.

7. Professional Engagement

Submitting a contact form does not constitute a formal engagement of architectural services. A separate written agreement executed by XaasTech LLC is required for any professional architectural services.

8. Disclaimer of Warranties

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, XAAS TECH LLC (DBA SOHO SLEEK) DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY WYOMING LAW, IN NO EVENT SHALL XAAS TECH LLC (DBA SOHO SLEEK) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE.

10. Indemnification

You agree to defend, indemnify, and hold harmless XaasTech LLC (DBA Soho Sleek), its officers, members, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in Sheridan County, Wyoming. You waive any objection to the venue of such courts.

12. Dispute Resolution

Informal Resolution: Before filing a claim, you agree to attempt to resolve the dispute informally by contacting admin@sohosleek.com.

Arbitration: If a dispute cannot be resolved informally, you agree that any dispute shall be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) in Sheridan County, Wyoming. YOU AGREE TO WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting on the Site.
